5.1. The Organizer does not guarantee that prize shipment, delivery, activation, or provision will be available to every country or territory. If delivery or activation to a winner’s country or region is not possible due to legal, regulatory, sanctions-related, customs, shipping, courier, import, export, platform, subscription, payment, or other restrictions beyond the Organizer’s reasonable control, the Organizer reserves the right, at its sole discretion, to refuse shipment or activation to that destination, request an alternative lawful delivery address, substitute the relevant prize component with an alternative prize component of a comparable nature, or withdraw the prize.
5.2. The Organizer shall not be liable for delays, failures, additional costs, or inability to deliver or activate a prize caused by customs procedures, local import restrictions, inaccurate delivery information, courier disruptions, sanctions-related limitations, platform restrictions, or other circumstances beyond the Organizer’s reasonable control.

6.1. The concept of the playlist may be determined at the participant’s discretion and may be based on mood, theme, visual language, technology, medium, authorial statement, or any other curatorial rationale.
6.2. The language of the playlist title and description shall be at the participant’s discretion.
6.3. Incomplete, defective, misleading, duplicate, automated, or otherwise non-compliant entries may be rejected at the Organizer’s sole discretion.
6.4. Incomplete, defective, misleading, duplicate, automated, or otherwise non-compliant entries may be rejected at the Organizer’s sole discretion.

7.1. The Organizer reserves the right to review entries for compliance and to disqualify any entry that does not satisfy these requirements.

8. Unless otherwise determined by the Organizer, three (3) winners will be selected.
8.1. Entries may be evaluated on the basis of originality, curatorial coherence, conceptual strength, quality of interpretation, engagement with the CIFRA archive, and overall editorial or artistic merit.
8.2. The selection process may involve representatives of the Organizer’s marketing, art, and editorial teams and any other persons designated by the Organizer.
8.3. The Organizer reserves the right to select a different number of winners if it considers this appropriate in light of the number, quality, or suitability of the entries received. In such case, the number, composition, and allocation of prizes may be adjusted accordingly.
8.4. If the Organizer does not receive a sufficient number of eligible or suitable entries, it may, at its sole discretion, extend the Promotion Period, select fewer winners, refrain from awarding certain prizes, or cancel the Promotion.
8.5. All decisions of the Organizer regarding eligibility, compliance, evaluation, disqualification, winner selection, reserve winner procedures, prize allocation, and prize fulfillment shall be final and binding, to the extent permitted by applicable law.

9. The Organizer may, at its discretion, conduct a public vote on CIFRA’s Instagram account to determine an Audience Choice distinction.
9.1. Unless otherwise announced by the Organizer, the Audience Choice distinction shall be awarded from among the winners already selected by the Organizer and shall not create an additional winner category.
9.2. The format, timing, and mechanics of any such public vote shall be determined solely by the Organizer, which reserves the right to modify, suspend, or cancel such voting process at any time.

10. The prize pool is intended to consist of 3 non-monetary prize sets, one for each winner. Each prize set may include:
an Apple TV device;
a selection of books recommended by the CIFRA Artistic Vision Council;
a one-year subscription to CIFRA Club; and
featured placement of the winning playlist on the CIFRA homepage for one week, together with related marketing, editorial, and artistic support as determined by the Organizer.
10.1. The Promotion does not include any cash prize, cash payment, monetary award, or monetary alternative. Prizes are provided in kind only.
10.2. The exact composition of each prize set may be changed by the Organizer. The Organizer reserves the right to replace any prize component with another item, service, subscription, placement, or benefit of a comparable nature or value if reasonably required due to availability, logistics, legal restrictions, editorial considerations, technical limitations, or other circumstances beyond its control.
10.3. Prizes are personal, non-transferable, and may not be exchanged, assigned, resold, redeemed for cash, or redeemed for any other monetary equivalent.
10.4. If the Organizer elects to select a different number of winners, the number and composition of prizes may also be changed accordingly.

11. The Organizer may, at its discretion, select 4 to 5 reserve winners. A reserve winner may be elevated to winner status if an original winner is found to be ineligible, fails to respond within the required time, refuses the prize, fails to provide complete or accurate information, fails to pass KYC or sanctions screening, cannot lawfully or practically receive or activate the prize, or is otherwise disqualified.
11.1. The Organizer shall not be under any obligation to appoint reserve winners in every case, but may do so in order to preserve the continuity and integrity of the Promotion.

12. Winners may be contacted by direct message, email, submission form contact details, or by any other communication channel used in connection with the entry. Where email is used, the Organizer may send and maintain an email chain relating to winner notification, eligibility verification, KYC and sanctions checks, prize acceptance, delivery or activation details, tax and customs information, and confirmation of prize fulfillment.
12.1. Each winner must respond within the period specified by the Organizer in the relevant notification. Unless otherwise stated in the notification, the response period shall be 3 calendar days from the first notification attempt.
12.2. The winner may be required to provide all information and documents reasonably necessary to verify eligibility and arrange prize delivery or activation, including full name, age confirmation, username, email address, phone number, delivery address, country of residence, tax residency information where relevant, identity or KYC information, customs information, and any confirmations reasonably requested by the Organizer.
12.3. If a winner fails to respond in time, declines the prize, fails to provide the required information or documents, provides false, misleading, or incomplete information, fails KYC or sanctions screening, cannot be reached using the contact details provided, or cannot lawfully or practically receive or activate the prize, the Organizer may withdraw the prize and award it to a reserve winner or otherwise reallocate it at its discretion.
12.4. The Organizer may rely on the contact details provided by the participant. The Organizer shall not be responsible for any failure to receive a notification or email chain due to incorrect contact details, spam filters, account restrictions, mailbox issues, platform restrictions, or any other circumstances beyond the Organizer’s reasonable control.

13. Prize delivery, dispatch, activation, or access provision shall be arranged by the Organizer or by an appointed third party. Subject to receipt of the complete package of information and documents required from the winner, and provided that no legal, sanctions-related, logistical, technical, or compliance restriction applies, the Organizer will use reasonable efforts to initiate prize dispatch, delivery arrangements, activation, or access provision within 10 business days after receipt of such complete package.
13.1. Delivery, activation, or access timeframes will depend on the winner’s place of residence, the type of prize, courier operations, customs formalities, platform or subscription mechanics, and other logistical or technical factors. The 10-business-day period refers to the Organizer’s initiation of fulfillment arrangements and does not guarantee final delivery or activation by a specific date.
13.2. The Organizer shall not be liable for delays, failures, or additional costs arising from shipping restrictions, customs requirements, sanctions-related limitations, local legal requirements, platform restrictions, force majeure events, or other circumstances beyond its reasonable control.
13.3. If a prize is returned, rejected, undeliverable, unclaimed, incapable of being shipped or activated, or incapable of being lawfully provided after reasonable efforts by the Organizer, the prize may be deemed forfeited and reallocated at the Organizer’s discretion.

14. Tax, customs, duties, and charges. Any value assigned to a prize for accounting, customs, tax, reporting, or administrative purposes is gross and relates to a non-cash prize only. The recipient is solely responsible for any taxes, duties, levies, customs charges, import charges, reporting obligations, or other public charges applicable in their country of tax residence or any other relevant jurisdiction in connection with acceptance, receipt, import, use, or enjoyment of the prize. CIFRA does not act as a tax agent, withholding agent, or tax representative in any jurisdiction outside the United Arab Emirates.
14.1. The Organizer may request information or documents required for customs, shipping, reporting, or compliance purposes. Failure to provide such information or documents may result in refusal, withdrawal, or forfeiture of the prize.

15. By submitting an entry, each participant grants to the Organizer and its affiliated entities a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, display, communicate to the public, publish, promote, adapt for technical or promotional purposes, and otherwise use the submitted playlist title, playlist description, participant’s first name, username, and screenshots, excerpts, or visual representations of the playlist in connection with the Promotion and CIFRA’s editorial, marketing, advertising, social media, public relations, and archival activities.
15.1. Such use may include, without limitation, reposting entries, publishing winners and shortlisted entries, featuring playlists on the CIFRA platform, and using submitted playlists or related materials in advertising creatives and promotional communications.
15.2. The participant represents and warrants that the submitted materials are lawful and do not infringe the rights of any third party.
15.3. Nothing in these Terms shall transfer ownership of the participant’s original contribution to the Organizer. The participant retains ownership of any intellectual property rights they may have in their original text contribution, subject to the license granted under these Terms.
15.4. If the Organizer wishes to use any participant’s work, project, curatorial concept, text, image, video, or other material outside the scope of the Promotion and the uses expressly described in these Terms, such use may be subject to a separate written agreement, consent, or additional rules, as determined by the Organizer where required by applicable law.

16. The Organizer may process participants’ personal data for the purposes of administering the Promotion, reviewing entries, verifying eligibility, selecting winners, contacting participants, maintaining the winner notification email chain, arranging and documenting prize delivery or activation, conducting KYC and sanctions checks, handling reserve winner procedures, and ensuring compliance with legal and operational requirements.
16.1. Where necessary for prize fulfillment, the Organizer may share relevant personal data with couriers, delivery providers, customs agents, logistics providers, subscription or platform providers, compliance screening providers, and other service providers involved in the administration of the Promotion.
16.2. By participating in the Promotion, each participant acknowledges and agrees that their personal data may be processed for the purposes described in these Terms and in accordance with the Organizer’s applicable privacy policy and any mandatory requirements of applicable law.
16.3. By participating in the Promotion, each participant acknowledges and agrees that the Organizer may contact them using the email address, social media account, submission form details, or any other contact details provided in connection with the Promotion.
16.3.1. The Organizer may send participants different types of communications relating to the Promotion, including, without limitation:
(a) announcement communications, including the initial announcement of the Promotion, links to the relevant landing page, rules, instructions, prizes, and participation mechanics;
(b) submission confirmation communications, confirming that the participant’s playlist has been submitted or received by the Organizer;
(c) reminder and re-engagement communications, including reminders about the Promotion timeline, submission deadline, voting period, prizes, participation mechanics, or the possibility to edit, complete, or submit additional materials where such mechanics are made available by the Organizer;
(d) voting and public engagement communications, including information on any public voting mechanics, Audience Choice selection, social media publication, or related promotional activities;
(e) winner notification communications, including messages to selected winners regarding the results of the Promotion, prize acceptance, eligibility verification, KYC and sanctions checks, delivery or activation details, tax and customs information, and confirmation of prize fulfillment;
(f) non-winner communications, including messages to participants who were not selected as winners, thank-you notes, promotional follow-up, or information on any complimentary, bonus, or discretionary benefits that the Organizer may choose to provide, such as limited access, promo codes, or subscription-related offers, provided that such benefits do not create any obligation on the Organizer to provide a prize or monetary compensation; and
(g) administrative and legal communications, including notices regarding amendments to the Promotion timeline, technical issues, changes to the rules, disqualification, prize withdrawal, reserve winner procedures, or other matters necessary for the lawful and proper administration of the Promotion.
16.3.2. Such communications may be sent before, during, and after the Promotion Period. The frequency of communications may vary depending on the participant’s actions, the stage of the Promotion, and operational needs, but may include one or more messages at the announcement stage, after submission, during the reminder period, before or during voting, around the results announcement date, and during prize fulfillment. The Organizer may also send additional follow-up communications where reasonably necessary to administer the Promotion, verify eligibility, arrange prize delivery or activation, or communicate discretionary non-monetary benefits.
16.3.3. Participation in the Promotion requires the Organizer to send certain operational and administrative communications. A participant who does not wish to receive such communications may be unable to participate in the Promotion or receive a prize. Any marketing communications, where applicable, shall be sent subject to the Organizer’s applicable privacy policy and mandatory requirements of applicable law.

17. The Organizer reserves the right to disqualify any participant or entry, refuse prize delivery or activation, withdraw a prize, or reallocate a prize where it reasonably determines that:
the participant is not eligible;
the entry does not comply with these Terms;
the participant has acted fraudulently, dishonestly, abusively, or in bad faith;
false, misleading, or incomplete information has been provided;
the participant has attempted to manipulate the Promotion mechanics or any voting process;
the participant fails to provide requested KYC, identity, residency, delivery, tax, customs, or other compliance information or documents;
sanctions, embargoes, export-control restrictions, banking restrictions, customs restrictions, platform restrictions, or other legal restrictions apply;
the participant is resident in, located in, ordinarily domiciled in, or requesting prize delivery to a restricted or sanctions-affected jurisdiction;
prize delivery or activation would be unlawful, impracticable, disproportionately burdensome, or inconsistent with the Organizer’s compliance requirements; or
the participant’s conduct may harm the fairness, reputation, or lawful administration of the Promotion.
17.1. The Organizer further reserves the right to suspend, amend, shorten, extend, or terminate the Promotion where necessary due to fraud, technical failure, low participation, legal or regulatory changes, sanctions-related restrictions, platform restrictions, force majeure, or other circumstances materially affecting the proper conduct of the Promotion.

18. To the fullest extent permitted by applicable law, the Organizer shall not be liable for any loss, damage, liability, cost, expense, delay, injury, technical failure, failed submission, communication error, email delivery issue, delivery issue, customs issue, tax consequence, sanctions-related restriction, subscription or platform issue, or other consequence arising out of or in connection with the Promotion, participation in it, or acceptance, use, or inability to use any prize, except where such liability cannot lawfully be excluded.

19. Prizes are not redeemable for cash and no monetary alternative shall be provided. No participant or winner shall have any right to receive any cash payment, monetary compensation, substitute cash value, or other payment from the Organizer in connection with the Promotion, except where expressly required by mandatory applicable law.

20. The Promotion may be advertised, promoted, or communicated through Instagram. However, Instagram does not sponsor, endorse, administer, or have any responsibility for the Promotion. Participants acknowledge that any information provided in connection with the Promotion is provided to the Organizer and not to Instagram.

21. These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by the laws applicable in the Emirate of Dubai and the federal laws of the United Arab Emirates, including any mandatory laws and regulations applicable to entities established in the Dubai Multi Commodities Centre (DMCC), to the extent applicable.

22. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.

23. These Terms constitute the entire agreement between the Organizer and the participants with respect to the Promotion.
